Terms of service

Last updated September 12, 2026.

1. Agreement to these terms

TixTally is a product of Vinara Software Co. (“Vinara Software,” “we,” “us,” or “our”). These terms (“Terms”) govern your use of TixTally's website and dashboard (the “Service”), whether you are an organization selling tickets through TixTally (an “Organizer”) or someone buying a ticket to an event listed on it (a “Buyer”). Our Cookie policy and our Privacy policy are part of these Terms by reference.

By creating an account, publishing an event, or buying a ticket, you agree to these Terms. If you are agreeing on behalf of an organization, you are confirming you have the authority to bind that organization, and “you” means that organization. If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction if that is older, to create an account or act as an Organizer. A Buyer must be old enough to enter a binding contract for the purchase they are making, or be purchasing with the involvement of a parent or guardian where required by law.

3. What TixTally is, and is not

TixTally provides software that lets an Organizer build an event page, sell tickets, and issue signed digital tickets. Payment processing runs through Stripe, and each Organizer connects their own Stripe account. Ticket revenue is deposited directly into that account, not into any account Vinara Software holds.

The Organizer, not Vinara Software, is the seller of each ticket. An Organizer is the merchant of record for their own events: they set prices, decide refund terms, and are responsible for delivering the event they sold. TixTally provides the technology and takes a platform fee on each transaction; it is not a party to the sale between an Organizer and a Buyer, and is not responsible for whether an event happens as described.

4. Accounts

You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for activity that happens under your account, including actions taken by teammates you invite. Tell us promptly if you believe your account has been accessed without authorization; we are not liable for losses caused by an unauthorized access you did not report.

5. Organizer responsibilities

An Organizer using TixTally agrees to:

  • Publish accurate event details, including date, time, location, and price.
  • Hold any licenses, permits, or insurance their event requires under local law.
  • Set and honor a clear refund policy, and communicate event changes or cancellations to buyers directly.
  • Comply with Stripe's own terms of service for the connected account used to accept payment.
  • Not use TixTally to sell tickets to an event that does not exist or that they do not have the right to sell.

Events involving children. TixTally is not directed at children and we do not knowingly collect personal data from them. An Organizer running an event where the attendees are children, such as a school event, is responsible for any consent their local law requires from a parent or guardian, and for deciding what attendee details they need to collect at all. The person who buys a ticket is the account we deal with.

Tax is the Organizer's. An Organizer who turns on tax collection chooses the rate and what it applies to. TixTally calculates that rate, shows it to the Buyer at checkout, and collects it with the rest of the payment, which settles into the Organizer's own Stripe account. We do not decide what tax is owed, we do not remit it, and we do not issue a tax receipt. Registering where required, remitting what was collected, and providing any receipt a Buyer is entitled to are the Organizer's.

6. Fees

TixTally charges a per-transaction platform fee on paid tickets, applied on top of Stripe's own card processing fee. The current rate, and who pays it, is always stated at checkout and on our Pricing page, which is the source of truth if anything here ever reads as out of date. Fees may change; the rate in effect at the time of a purchase is the one that applies to it.

7. Fair usage policy for free events

Ticket types priced at zero carry no platform fee, which is deliberate: a community group running a free event should not pay to do it. To keep that sustainable for everyone, each organization may issue up to 2,500 free registrations in any rolling 12-month period at no cost.

Most organizations never come close to this. If yours expects to, reach out to us through your dashboard before you do — we would rather talk with you about what you need than have this policy surprise you. We reserve the right to apply a fee to free registrations beyond this threshold, or to ask an organization exceeding it regularly to move to a paid plan, with notice given first.

8. Acceptable use

You agree not to use TixTally to:

  • List or sell tickets to an event that is fraudulent, illegal, or that you do not have the right to hold.
  • Circumvent, disable, or interfere with the fees, security, or rate limits built into the Service.
  • Scrape, resell, or redistribute data from the Service beyond what your own account is entitled to.
  • Harass, defraud, or attempt to deceive another Organizer or Buyer.
  • Upload content you do not have the right to use, or that infringes someone else's rights.
  • Attempt to gain unauthorized access to another account, or to any part of the Service you have not been granted access to.

We may suspend or terminate access for a violation of this section, with or without notice depending on severity.

9. Tickets and refunds

Each ticket is a digital credential tied to one admission. Refunds are handled by the Organizer, through their own Stripe dashboard, according to the refund policy they set for their event. TixTally reflects the payment status Stripe reports; it does not independently adjudicate refund disputes between an Organizer and a Buyer.

What a refund returns. A refund returns the ticket price. The TixTally fee and Stripe's processing fee are not returned. Stripe does not return its processing fee on any refund, and ours is charged for selling the ticket, which happened.

If an event is cancelled. The Organizer is responsible for refunding Buyers, on whatever terms their refund policy and local law require. TixTally stops a cancelled event from taking new payments and releases any payment it is still holding, but a payment already settled has reached the Organizer's own Stripe account and only they can return it.

Using a ticket. A ticket admits one person once. You may pass one on to someone else, and the Organizer may set their own rules about that for their event; whoever presents it at the door is the person admitted. If the same ticket is presented twice, the second one is refused, and sorting that out between the people involved is the Organizer's, at their event. We can say what our records show and when a ticket was scanned, which is usually the question.

Chargebacks. A Buyer pays the Organizer, through the Organizer's own Stripe account. If a Buyer disputes a charge, that dispute is between them and the Organizer: the disputed amount and any fee the card networks or Stripe charge for it come out of the Organizer's account, not ours. Our platform fee on the original transaction is not refunded by the dispute.

10. Buyer information

Buying a ticket means agreeing to these Terms, as stated in section 1. This section is what that means for a Buyer specifically.

What we ask you for. At checkout we ask for your email address, which is where your tickets are sent, and your name, which is optional. Your card details go directly to Stripe and never reach us. We also record what you bought and when, the tickets issued to you, whether a ticket was scanned at the door, and basic information about how you reached the event page. The Privacy policy describes all of it, and is part of these Terms.

Who holds it. The Organizer you bought from is the seller, and they can see your order and the details above for their own event. We hold the same records to run the Service for them. An Organizer may also add or correct a name, email, or phone number against a ticket they issued.

Asking us to delete it. You can ask for your details to be removed. Contact the Organizer you bought from, who can send us that request directly from their TixTally dashboard. When we act on one, we remove the name, email, and phone number held against your orders, tickets, and saved contact details, at every Organizer you bought from. We keep the order itself: what was bought, when, and for how much. That record is the Organizer's receipt and part of their books, and it no longer says who you are. Deletion cannot be undone, and a ticket you still intend to use will stop being deliverable to you.

11. Content and intellectual property

Vinara Software owns the TixTally platform, including its software, design, and branding. You may not copy, modify, or reverse-engineer any part of it except as the law expressly permits.

An Organizer retains ownership of the content they upload — event names, descriptions, images, and branding — and grants Vinara Software a worldwide, non-exclusive, royalty-free license to host, display, and reproduce it solely to operate and promote the Service, including on a public event page and in ticket emails. You confirm you have the rights necessary to grant this license for anything you upload.

12. Third-party services

The Service relies on third-party providers to work: Stripe for payment processing and identity verification, and providers for hosting, email delivery, and monitoring that keep the Service running and secure. Your use of a third party's functionality through TixTally, particularly Stripe's, is also subject to that provider's own terms. We are not responsible for a third-party provider's acts, omissions, or outages, though we will work to resolve issues that affect you.

14. Disclaimers and limitation of liability

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the Service will be uninterrupted, secure, or error-free, and we are not responsible for an event itself — its quality, safety, or whether it happens as described, which is the Organizer's responsibility.

To the fullest extent the law allows, Vinara Software's total liability for any claim arising from your use of the Service is limited to the platform fees you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, even if we were advised they were possible.

15. Indemnification

You agree to defend and indemnify Vinara Software against any claim, loss, or expense, including reasonable legal fees, arising from your use of the Service, the event you organized or attended, your content, or your violation of these Terms.

16. Termination

You may stop using TixTally at any time. We may suspend or terminate an account that violates these Terms, poses a risk to other users, or where we are required to by law or by Stripe. Tickets already issued for a completed sale remain valid unless the Organizer cancels the underlying event. Sections of these Terms that by their nature should survive termination — including fees already owed, disclaimers, limitation of liability, and indemnification — do survive it.

17. Changes to these terms

We may update these Terms as the Service changes. If we make a material change, we will update the date at the top of this page. Continuing to use TixTally after a change takes effect means you accept the updated Terms.

18. General provisions

  • Entire agreement. These Terms, together with our Cookie policy, are the entire agreement between you and Vinara Software about the Service, and replace any earlier agreement on the same subject.
  • Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
  • No waiver. Our not acting on a violation of these Terms does not waive our right to act on it, or a later one.
  • Assignment. You may not assign your rights under these Terms without our consent. We may assign ours, for example as part of a merger or sale of the business, on notice to you.
  • Force majeure. Neither party is liable for a failure to perform caused by something reasonably beyond its control.
  • Electronic communications. You consent to receive notices, agreements, and disclosures from us electronically, including by email and by posting them in the Service.
  • Governing law. These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. We are happy to serve Organizers and Buyers anywhere we can legally operate; naming one place here is about which law reads this agreement, not about where you may use the Service.
  • Disputes. The courts of British Columbia have jurisdiction over any dispute arising from these Terms, and you and we each agree to that. Two things this does not do: it does not take away a consumer's right to the mandatory protections of the place they live, where their local law gives them that right regardless of what a contract says; and it does not stop either of us asking a court anywhere for an injunction to stop ongoing harm. A dispute between an Organizer and a Buyer about an event or a refund is between them, not with us (see Tickets and refunds).

19. Contact

Email support@tixtally.app. No account is needed, and this is the address for notices under these terms.

A signed-in Organizer can also use Help & support in the dashboard, which reaches the same inbox but arrives with your organization and the page you were on attached. Our support page lists every route, including how a Buyer resends a lost ticket without contacting anyone.
